We maximize the value of private equity assets for our clients.  While each transaction is unique, our clients typically access the secondary market to actively manage general partner relationships or target prior investments where liquidity can be generated.

To optimize pricing in the secondary market, a thorough marketing process is necessary to accommodate the broad range of values that buyers attribute to private equity assets.  In today’s market, transactions are increasingly syndicated to multiple buyers, which increases the complexity of due diligence and closing.  MHT SA manages all phases of the process in order to allow our clients to focus on their core operations.

Due Diligence. MHT SA invests significant time to understand the portfolio of private equity assets to be sold in order to determine each fund’s investment highlights, near-term opportunities and potential issues.  We will utilize our own experience with GPs and their portfolio companies as well as external market and industry data to best assess all factors effecting valuation.  We work with fund managers to identify transfer restrictions and solicit approval for the transaction.

Marketing. We prepare detailed, compelling marketing materials on the portfolio and each individual fund to assist buyers in their evaluation of the assets and to ensure information transparency in the process.  We identify the most financially and strategically qualified candidates as potential buyers in the transaction.

Closing. We work with the seller, buyer(s) and their respective legal counsels to negotiate terms of the transaction in a definitive agreement.  Our professionals also manage the transfer agreement negotiations with the seller, buyer(s), fund managers and counsels to finalize the transaction.
